These Terms of Service ("Terms") govern your access to and use of the services provided by NetDefense Company ("NetDefense", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NetDefense provides a CLI-first management platform for decentralized firewalls, including:

  • NDCLI: Command-line interface for fleet management
  • NDAgent: Local agent for firewall synchronization
  • NDWeb: Web-based dashboard and management interface
  • Related APIs and integrations

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our services
  • Use our services for any illegal or unauthorized purpose
  • Resell or redistribute our services without authorization
  • Circumvent any access or rate limits

5. Intellectual Property

Our Rights

NetDefense and its licensors retain all rights to the services, including software, designs, documentation, and trademarks. These Terms do not grant you any rights to use our trademarks or branding.

Your Rights

You retain ownership of any data or content you submit through our services. You grant us a license to use this content solely to provide and improve our services.

6. Payment Terms

If you subscribe to paid services:

  • Fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • You are responsible for all applicable taxes

7. Subscription Plans and Permitted Use

NetDefense offers multiple subscription plans, each with different permitted uses as described below.

Free ("Personal") Plan

The Free plan is licensed solely for personal, non-commercial use. The Free plan provides access to the full NetDefense feature set for evaluation and personal purposes; however, it may not be used to manage, configure, or operate devices in connection with any commercial activity or for any form of monetary compensation. Prohibited commercial uses include, without limitation:

  • Providing managed-service offerings or device-management services to third parties
  • Performing paid consulting or professional-services engagements that involve the use of NetDefense
  • Operating NetDefense as part of any revenue-generating business activity

Paid Plans (Team, Business, and Enterprise)

Commercial use of NetDefense requires a paid subscription. The Team, Business, and Enterprise plans are licensed for both personal and commercial use in accordance with their respective plan terms and any applicable usage limits.

Enforcement

Use of the Free plan in violation of this section constitutes a material breach of these Terms. NetDefense reserves the right to suspend your access or require you to upgrade to a paid plan if we determine that your use of the Free plan involves commercial activity.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Implement emergency maintenance when necessary
  • Modify, suspend, or discontinue features

We are not liable for any downtime or service interruptions.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT

We do not warrant that the services will meet your requirements or be error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETDEFENSE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from unauthorized access or data breaches
  • Any amount exceeding fees paid in the 12 months prior

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless NetDefense, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the services
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

You may terminate your account at any time through the account settings.

We may terminate or suspend your access immediately, without notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity

Upon termination, your right to use the services ceases immediately.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which NetDefense Company is incorporated, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or the services shall be resolved through:

  1. Good faith negotiation between the parties
  2. Binding arbitration if negotiation fails

You agree to waive any right to participate in class action lawsuits.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending notice to your registered email

Continued use of the services after changes constitutes acceptance of the modified Terms.

16. General Provisions

  • These Terms constitute the entire agreement between you and NetDefense
  • Our failure to enforce any right does not waive that right
  • If any provision is found unenforceable, the remaining provisions remain in effect
  • You may not assign these Terms without our consent
  • We may assign these Terms in connection with a merger or acquisition
